DigiDoDo Stablecoin Wallet

4.1 Age Requirement

You must be at least eighteen (18) years of age to use the App. By using the App, you represent and warrant that you are at least 18 years old. If you are a resident of a jurisdiction where the age of majority is greater than 18, you must meet that jurisdiction's age of majority requirement.

4.2 Geographic Restrictions

The App is not available to residents of jurisdictions where the use of digital assets or the services offered through the App are prohibited or restricted by applicable law. Without limiting the foregoing, residents of the following are prohibited from using the App or its integrated Third-Party Services:

• •Any country or region that is subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine.
• •Any jurisdiction that has enacted laws expressly prohibiting non-custodial digital asset wallets or peer-to-peer cryptocurrency transactions.

By using the App, you represent that you are not located in, under the control of, or a national or resident of any prohibited jurisdiction. Web 3 Solution LLC reserves the right to restrict access to the App from any jurisdiction at any time.

4.3 Wallet Creation

When you create a wallet through the App, your wallet is generated through Thirdweb's secure embedded wallet infrastructure and is tied to your chosen authentication method — Google, Apple, Facebook, email, or passkey. The App does not issue a traditional seed phrase. Access to your wallet is controlled by your authentication credentials, not a recoverable key string. You are solely responsible for:

• •Maintaining secure and continued access to the social login or email account used to create your wallet.
• •Never sharing your authentication credentials, device, or App access with any person, including Web 3 Solution LLC employees or representatives.
• •Preventing unauthorized access to your device and the App.
• •All activities and Transactions that occur in connection with your wallet address.

4.4 Wallet Recovery

Because the App uses embedded wallet technology rather than traditional seed phrases, wallet recovery is performed by re-authenticating with the same social login provider or email address used when creating your wallet. If you permanently lose access to that authentication account, you may be unable to access your wallet and the assets within it. Web 3 Solution LLC strongly recommends maintaining secure access to your social login or email account and enabling recovery options with your authentication provider.

4.5 No Account Registration with Web 3 Solution LLC

Because the App is non-custodial, Web 3 Solution LLC does not require you to create an account with us to use the core wallet functionality. However, certain features, including access to Onramp and Offramp Services provided by Third-Party Providers, may require you to complete a registration and identity verification process directly with such Third-Party Providers. We are not responsible for the registration process or data practices of Third-Party Providers.

5.1 Overview

The App integrates Third-Party Providers that offer Onramp Services (fiat-to-stablecoin purchase) and Offramp Services (stablecoin-to-fiat conversion). These services are provided entirely by third parties and are subject to their own terms of service, privacy policies, and regulatory requirements. Web 3 Solution LLC does not control, operate, or underwrite these services.

5.2 Identity Verification (KYC/AML)

Third-Party Providers are required by law to collect and verify User identity information before facilitating fiat-to-crypto or crypto-to-fiat transactions. As a result:

• •You may be required to provide government-issued identification, proof of address, selfie images, and other personal information to Third-Party Providers.
• •Third-Party Providers may screen your information against government watchlists, sanctions lists, and fraud databases.
• •Third-Party Providers may decline to provide services to you at their sole discretion, including based on KYC/AML screening results.
• •Web 3 Solution LLC does not receive, store, or process your KYC/AML documentation submitted to Third-Party Providers.

5.3 Responsibility for Third-Party Services

Web 3 Solution LLC expressly disclaims all liability for:

• •The availability, performance, or reliability of any Onramp or Offramp Service.
• •Transaction failures, delays, or errors caused by Third-Party Providers.
• •Exchange rates, spreads, or conversion fees charged by Third-Party Providers.
• •Regulatory compliance actions taken by Third-Party Providers, including account freezes or fund holds.
• •Loss of funds due to errors in the Third-Party Provider's systems.
• •Any breach of your personal data held by a Third-Party Provider.

5.4 Third-Party Terms

Before using any Onramp or Offramp Service, you are strongly encouraged to read and understand the terms of service and privacy policy of the relevant Third-Party Provider. By initiating a transaction through a Third-Party Provider, you agree to be bound by their terms.

5.5 No Endorsement

The integration of any Third-Party Provider into the App does not constitute an endorsement, recommendation, warranty, or guarantee by Web 3 Solution LLC with respect to that provider's services, reliability, or compliance. Web 3 Solution LLC may add or remove Third-Party Provider integrations at any time without notice.

6.1 Irreversibility of Transactions

All stablecoin transactions broadcast to a blockchain network are irreversible and final once confirmed. You acknowledge that:

• •Web 3 Solution LLC has no ability to reverse, cancel, or modify any confirmed Transaction.
• •Sending stablecoins to an incorrect or invalid wallet address will result in permanent loss of those assets.
• •You are solely responsible for verifying the accuracy of recipient wallet addresses, the correct blockchain network, and the correct asset type before authorizing any Transaction.
• •Blockchain network congestion, forks, and outages are outside the control of Web 3 Solution LLC and may cause delays or failures in Transaction processing.

6.2 Network Fees

DigiDoDo currently sponsors blockchain network fees ("gas fees") on behalf of Users for transactions conducted through the App. This means you are not required to hold ETH or other native tokens to pay for transaction processing. While we intend to continue this benefit, we reserve the right to modify or discontinue gas sponsorship with reasonable prior notice. In the event gas sponsorship is reduced or discontinued, network fees will be determined by market conditions on the Base blockchain network and will not be set or controlled by Web 3 Solution LLC.

6.3 Stablecoin Risks

You acknowledge and accept the following risks associated with stablecoins:

• •Stablecoins are not legal tender and are not issued or guaranteed by any government.
• •The peg stability of a stablecoin depends on the issuer's reserve management and market conditions, which Web 3 Solution LLC does not control.
• •Stablecoin issuers may freeze, blacklist, or burn token balances under certain circumstances, including by order of a court or regulatory authority.
• •Smart Contract vulnerabilities in stablecoin contracts may result in loss of funds.
• •Regulatory changes may adversely affect the availability or value of stablecoins.

6.4 Transaction Records

Because the App is non-custodial and transactions are recorded on a public blockchain, Web 3 Solution LLC does not maintain private transaction records on your behalf. You are responsible for maintaining your own transaction records for tax and accounting purposes.

7.1 User Responsibilities

You agree that you are solely responsible for:

• •Safeguarding your Private Key, Seed Phrase, device, and App from unauthorized access.
• •Ensuring that all information you submit to Third-Party Providers is accurate, complete, and lawful.
• •Complying with all applicable laws, regulations, and tax obligations in your jurisdiction related to the acquisition, holding, transfer, and conversion of digital assets.
• •Reporting and paying all applicable taxes on digital asset transactions as required by your jurisdiction.
• •Not using the App for any purpose that would violate applicable law or these Terms.

7.2 Prohibited Uses

You agree not to use the App for any of the following purposes:

• •Money laundering, terrorist financing, or any activity that violates the Bank Secrecy Act, the USA PATRIOT Act, OFAC sanctions, or equivalent laws in other jurisdictions.
• •Fraud, theft, wire fraud, or any other criminal activity.
• •Purchasing, transferring, or selling stablecoins in connection with any illegal marketplace or service, including those trading in illegal goods, controlled substances, or human trafficking.
• •Circumventing or attempting to circumvent any applicable tax law or regulatory reporting requirement.
• •Evading sanctions or facilitating transactions for sanctioned individuals or entities.
• •Hacking, exploiting, or attempting to compromise the App, any Third-Party Provider system, or any blockchain network.
• •Introducing malware, viruses, or malicious code into the App or any connected system.
• •Impersonating any person or entity or falsely representing your affiliation with a person or entity.
• •Engaging in market manipulation, wash trading, front-running, or any other manipulative or deceptive trading practice.
• •Using the App in any manner that could damage, disable, overburden, or impair the App or interfere with any other party's use of the App.
• •Violating any intellectual property rights of Web 3 Solution LLC or any third party.

7.3 Consequences of Prohibited Use

Web 3 Solution LLC reserves the right to report suspected unlawful activity to law enforcement authorities and to cooperate with investigations. Because the App is non-custodial, Web 3 Solution LLC cannot freeze or seize your digital assets. However, we may restrict or terminate your access to the App and its features, and we may notify Third-Party Providers of suspected prohibited use.

8.1 Web 3 Solution LLC Fees

Web 3 Solution LLC charges a service fee of 1.99% on stablecoin send transactions initiated through the App. This fee is deducted from the sent amount and is displayed in the App prior to you authorizing any Transaction — the recipient receives the amount less the fee. Additional fees may be introduced for future features and will be disclosed in the App prior to being charged. Fee structures may be updated from time to time upon reasonable notice.

8.2 Third-Party Fees

Third-Party Providers charge their own fees for Onramp and Offramp Services, including but not limited to:

• •Conversion or spread fees on fiat-to-crypto and crypto-to-fiat transactions.
• •Payment processing fees charged by credit card networks, ACH processors, or wire transfer services.
• •Withdrawal fees for disbursing fiat currency to a bank account.

These fees are determined by Third-Party Providers and are not set by or paid to Web 3 Solution LLC. Web 3 Solution LLC is not responsible for changes to Third-Party Provider fee structures.

8.3 Network Fees

As described in Section 6.2, DigiDoDo currently sponsors blockchain network fees for transactions conducted through the App at no cost to the User. If gas sponsorship is modified or discontinued in the future, applicable Network Fees will be determined by the blockchain network and will be non-refundable regardless of whether a Transaction is ultimately confirmed.

8.4 No Refunds

Due to the irreversible nature of blockchain transactions, all fees associated with confirmed Transactions are final and non-refundable. Disputes regarding Third-Party Provider fees must be directed to the relevant Third-Party Provider.

9.1 Ownership

The App, including all software, design, graphics, text, and other content, is owned by Web 3 Solution LLC or its licensors and is protected by United States and international intellectual property laws, including copyright, trademark, and trade secret laws.

9.2 Limited License

Subject to your compliance with these Terms, Web 3 Solution LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App solely for your personal, non-commercial use. This license does not include the right to: (a) modify or create derivative works of the App; (b) reverse engineer, decompile, or disassemble the App; (c) remove any copyright, trademark, or other proprietary notices; or (d) use the App for any commercial purpose.

9.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the App may be used by Web 3 Solution LLC without restriction or compensation to you.

10.1 Disclaimer of Warranties

Without limiting the foregoing, Web 3 Solution LLC makes no warranty that:

• •The App will function without interruption, errors, or security vulnerabilities.
• •Any defects in the App will be corrected.
• •The App or its servers are free of viruses or other harmful components.
• •Transaction information displayed in the App is accurate or complete.
• •The App will be compatible with your device or operating system.

10.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WEB 3 SOLUTION LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, OR AGENTS BE LIABLE FOR ANY:

• •Loss of digital assets due to: (i) User error; (ii) lost or compromised Private Keys or Seed Phrases; (iii) blockchain network failures; (iv) smart contract vulnerabilities; (v) third-party hacks or exploits; or (vi) regulatory actions.
• •Indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App.
• •Loss of profits, revenue, data, goodwill, or business opportunity.
• •Unauthorized access to your wallet by a third party.
• •Actions or omissions of any Third-Party Provider.

IN JURISDICTIONS THAT DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT WILL WEB 3 SOLUTION LLC'S TOTAL LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

12.1 Binding Arbitration

Except as set forth below, any dispute, claim, or controversy arising out of or relating to these Terms, the App, or any use of the App shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") pursuant to its Consumer Arbitration Rules then in effect, rather than in court.

12.2 Class Action Waiver

YOU AND WEB 3 SOLUTION LLC EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you and Web 3 Solution LLC each waive any right to a jury trial.

12.3 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property infringement, unauthorized access to the App, or other matters where irreparable harm may result.

12.4 Arbitration Location

Unless otherwise agreed, arbitration will be conducted in Wake County, North Carolina, or, at your election, via video conference or written submissions.
